Terms of Service
Who we are
Zekal is a software-as-a-service platform operated by Tal Shelef Inc., based in Toronto, Ontario, Canada. These Terms govern your use of Zekal — the website at zekal.ai, the Zekal application, and any associated APIs or services (together, the "Service"). By creating an account, accepting an invitation, or otherwise using the Service, you agree to these Terms. If you are agreeing on behalf of a company or other entity, you confirm you have authority to bind that entity, and "you" means both you and that entity.
Accounts, plans, and seats
Zekal is sold on paid subscription plans. Each plan carries a seat limit (Starter 1, Pro 3, Team 10, Enterprise custom). A seat is one active or invited user on your workspace. If your usage would exceed your plan's seat limit, additional invites are blocked until you upgrade or remove a seat.
You are responsible for maintaining the security of your account credentials, for every action taken under your account, and for the acts and omissions of users on your workspace. Notify us immediately at hello@zekal.ai if you suspect unauthorized access.
AI credits
Some features consume AI credits, which are prepaid units included with your plan or purchased as top-ups. Credits are consumed when the Service calls a third-party AI model or runs a credited workflow on your behalf. Credits are non-refundable once consumed, carry no cash value, cannot be exchanged for currency, and are not transferable between workspaces. Unused credits remain available while your account is in good standing; they do not survive termination.
We may change credit prices or the credit cost of individual features with 30 days' notice. Changes do not affect credits already consumed.
Your data; our licence to process it
You retain all right, title, and interest in the data you or your users submit to the Service — leads, contacts, uploaded documents, call transcripts, campaign copy, and anything else you put into your workspace ("Customer Data"). We make no claim of ownership over Customer Data.
You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display Customer Data strictly to provide and improve the Service for you, including: running AI features you invoke, routing messages to Twilio and Resend when you send them, scraping sources you configure in Market Intel, and generating backups and audit logs. We do not use Customer Data to train AI models.
You represent that you have the right to submit the Customer Data you upload, including every personal information item about third parties (buyers, past clients, applicants, employees). Where personal information is involved, see our Privacy Policy at /privacy for the full detail.
AI outputs are suggestions, not advice
AI features in Zekal produce drafts, summaries, and recommendations. Outputs can be incomplete, inaccurate, or inappropriate for your situation. Every AI output is a starting point that you must review, edit, and approve before it is sent, published, or relied on. The Service is not a substitute for professional judgment.
Zekal does not provide legal, financial, tax, mortgage, or real-estate advice. Where an AI output touches on contract terms, title, escrow, pricing guarantees, deposits, financing, agency obligations, or regulated claims, you must consult a qualified professional before relying on it. Nothing produced by the Service creates a lawyer-client, broker-client, or advisor-client relationship with Tal Shelef Inc..
Messaging compliance (CASL, recording, consent)
When you send email, SMS, or voice messages through Zekal, you remain the sender for the purposes of Canada's Anti-Spam Legislation (CASL) and equivalent laws elsewhere. You are responsible for obtaining and maintaining the express consent of each recipient before you send commercial electronic messages, for keeping consent records, and for honouring unsubscribe requests. Zekal provides tools (opt-in flags, unsubscribe links, suppression lists) to support compliance; it does not transfer legal responsibility.
If you use Zekal's AI calling or call-recording features, you are responsible for all applicable consent requirements. In Ontario, telephone recording is lawful when at least one party consents (one-party consent); even where one-party consent is sufficient, Zekal expects you to disclose recording to recipients at the start of each call. Where you call recipients in jurisdictions requiring two-party consent, you must obtain consent before the recording begins.
You are responsible for ensuring that any list of leads or contacts you import into Zekal was collected lawfully and with the consents necessary for the uses you intend.
Acceptable use
You will not use the Service to:
- send unsolicited bulk commercial messages, spam, or any communication prohibited by CASL or similar laws
- scrape, crawl, or extract data from any third-party website or service in violation of its terms of use, robots.txt, or any applicable law
- discriminate unlawfully in tenant screening, lead qualification, pricing, or outreach — including on the basis of race, religion, family status, age, disability, marital status, source of income, or any other protected characteristic under the Ontario Human Rights Code or applicable fair-housing law
- misrepresent your identity, your brokerage affiliation, or the pricing / availability / condition of a property
- upload or process personal information you do not have the right to use
- probe, scan, or test the vulnerability of the Service, or circumvent authentication, rate limits, or security controls
- resell, sublicense, or make the Service available to third parties outside your workspace, or use the Service to build a competing product
- use the Service to generate content that is defamatory, deceptive, infringing, obscene, or unlawful
Third-party services
Zekal relies on third-party sub-processors to deliver the Service. Current sub-processors are listed in the Privacy Policy at /privacy. By using the Service you authorize us to share the Customer Data necessary to deliver features with these providers. Your use of their outputs is also subject to their terms (for example, Anthropic's acceptable-use policy for AI output).
Suspension and termination
We may suspend or terminate your access with reasonable notice if you materially breach these Terms, if your account becomes delinquent on fees, if your usage poses a security or legal risk to us or other customers, or if a sub-processor requires us to do so. For critical risks (abuse, security incident, unlawful content) we may suspend immediately and notify you after.
You may cancel at any time by writing to hello@zekal.ai. On termination, we will provide a reasonable export of Customer Data on request, and will delete remaining Customer Data within 90 days — subject to backup rotation and legal-hold obligations.
Warranty disclaimer
The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, Tal Shelef Inc. disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, or that AI outputs will be accurate.
Limitation of liability
To the maximum extent permitted by law, Tal Shelef Inc. will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility. Our total aggregate liability for all claims arising out of or related to the Service in any 12-month period will not exceed the fees you paid to us for the Service during that 12-month period. These limits apply regardless of the theory of liability (contract, tort, statute, or otherwise).
Indemnity
You will defend, indemnify, and hold harmless Tal Shelef Inc., its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) Customer Data you submit; (b) messages you send through the Service; (c) your violation of these Terms, applicable law (including CASL, PIPEDA, fair-housing, and real-estate regulation); or (d) your use of the Service in ways not expressly authorized.
Changes to these Terms
We may update these Terms. If a change is material, we will give you at least 30 days' notice before it takes effect, by email to the owner on your workspace or by a notice in the Service. If you do not agree to the change, you may terminate your subscription before the change takes effect. Continued use of the Service after the effective date constitutes acceptance.
Governing law and venue
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Each party submits to the exclusive jurisdiction of the courts located in Toronto, Ontario for any dispute arising out of or related to these Terms, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.
